Terms of Use

Welcome to Token Circles, an open-source, local-first personal finance app at tokencircles.com (the “Service”). The app is free to use; some optional cloud features are paid (see Section 7). These Terms of Use (“Terms”) are a binding agreement between you and Irchiinnuss, the operator of Token Circles (“we,” “us”). Please read them.

1. Acceptance

By using the Service, you agree to these Terms and to our Privacy Notice. If you don’t agree, please don’t use the Service.

2. Eligibility

You must be at least 18 years old, or the age of majority where you live, to use the Service.

3. Not financial advice

Token Circles is a personal-finance tool, not a financial adviser. Its budgets, analytics, reports, and calculators (including loan amortization, retirement, FIRE, compound-interest, emergency-fund, and rent-vs-buy calculators) are for informational and organisational purposes only and produce estimates based on the data and assumptions you enter. Nothing in the Service is financial, investment, tax, accounting, or legal advice, and nothing in it is a recommendation to buy, sell, or hold any asset. You are solely responsible for your financial decisions; for advice about your specific situation, consult a qualified professional.

4. The Service is provided “as is”

The Service is provided “as is” and “as available,” with no warranties of any kind, express or implied, including fitness for a particular purpose, the accuracy or completeness of any figure, calculation, imported statement, or report, or uninterrupted availability. Balances and results depend on the data you enter and import; verify anything you rely on. You use the Service at your own risk.

5. Your data and content

You are responsible for the financial data and any files you enter into or import into the Service (your “Content”), and you represent that you have the right to use them. In the default local-first mode, your Content stays in your browser on your device.

If you use cloud sync, you grant us a limited, non-exclusive, royalty-free license to store and process your Content only as needed to provide sync and the features you ask for, and for no other purpose. We do not claim ownership of your Content, we do not sell it, and we do not use it to train or fine-tune any machine-learning models. How we handle it is described in our Privacy Notice.

6. Acceptable use

You agree not to use the Service to:

• do anything illegal, or enter or import content you don’t have the right to use;
• disrupt, overload, scrape, or attack the Service or its infrastructure, or circumvent any technical limits;
• attempt to access accounts or data that aren’t yours.

We may suspend or limit access if you break these rules.

7. Paid plans and refunds

The local-first and self-hosted app is free. The managed cloud has a free tier and optional paid plans (currently in beta).

• Billing. Paid plans are priced at the amounts shown at the time of purchase (plus any applicable taxes). We may change prices or plan contents going forward; changes don’t affect a term you have already paid for.
• Payment processing. Payments are handled by our processor, Stripe. We don’t receive or store your full card details, and your purchase is also subject to the processor’s terms.
• Your statutory rights. Nothing here limits any non-waivable consumer or withdrawal rights you may have under the law of your country; where those apply, they prevail over this section.

8. Intellectual property

The Token Circles software is open source under the GNU AGPL-3.0 license; you’re free to use, study, modify, and self-host it under that license (see our repository). These Terms cover the hosted Service at tokencircles.com and do not limit your rights under AGPL-3.0. Our name and logo remain ours. Your Content stays yours.

9. Third-party services

The cloud Service relies on third parties to operate — including Cloudflare (hosting, database, and object storage), Stripe (payments), a sign-in provider such as Google, and Resend (email). Your use of those features is also subject to the relevant provider’s terms.

10. Privacy

How we handle data is described in our Privacy Notice. In short, the app is local-first and, by default, your financial data stays in your browser.

11. Limitation of liability and indemnity

To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, or consequential damages, or for any loss arising from your Content, your financial decisions, or your use of the Service. Our total liability to you for any claim will not exceed the greater of (a) the total amount you paid us for the Service in the 12 months before the claim, or (b) EUR 50.

You agree to defend and indemnify us against any third-party claim arising from your Content, your use of the Service, or your breach of these Terms.

12. Changes

We may update or change these Terms at any time. If we make material changes, we’ll update the date above and, where reasonable, give notice. Continued use of the Service means you accept the updated Terms.

13. Governing law and contact

These Terms are governed by the laws of Croatia, without regard to conflict-of-law rules, and the Croatian courts have jurisdiction over any dispute. If you are a consumer, this does not remove any mandatory consumer-protection rights, or the right to bring a claim in the courts, of your country of residence. Questions: hello@tokencircles.com.
